Each mandate is valid for one General Meeting only. The proxy holder enjoys the same rights as the member who appointed him/her would have enjoyed at the General Meeting. The proxy holder votes in accordance with any voting instructions given by the member who appointed him/her.
The Articles of Association and the General Regulations may provide for restrictions on the appointment of proxies and on the exercise of the voting rights of the members they represent, and in particular may limit the number of mandates available to a proxy holder, provided that such restrictions do not jeopardise the proper and effective participation of the members in the decision-making process of the organisation.
